Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and ProCourt LLC ("ProCourt", "we", "us"). They govern your use of the ProCourt mobile application and the website at procourt.ai (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Accounts

• You must be at least 18 years old to enter into these Terms. Minors may use the Service only through, and under the supervision of, a parent or guardian who accepts these Terms and is responsible for the minor's use.
• You agree to provide accurate information, keep your password secure, and remain responsible for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service

ProCourt provides tools for tennis match tracking, performance analytics, AI-assisted coaching insights, and a marketplace to connect with and book lessons from coaches. We may add, change, or discontinue features at any time.

3. Subscriptions and Billing

• The Service offers a free plan and paid plans (Pro and Family). Paid subscriptions are billed through the Apple App Store or Google Play and renew automatically until canceled.
• Manage or cancel your subscription in your app store account settings. Cancellation takes effect at the end of the current billing period. Prices may change with reasonable notice. Refunds are handled according to the applicable app store's policies.

4. Coaching Marketplace

• ProCourt is a platform that connects players and parents with independent coaches. Coaches are not employees or agents of ProCourt, and ProCourt does not itself provide coaching services.
• We do not screen, vet, endorse, or perform background checks on coaches or users. You are solely responsible for evaluating, and for your interactions with, anyone you connect with or meet through the Service. Use caution, particularly involving minors; parents and guardians are responsible for supervising their children's interactions and lessons.
• Lessons are booked and paid in the app through Stripe, and a flat service fee is added to each booking. Scheduling, cancellations, refunds, and the lessons themselves are between you and the coach and subject to the coach's own policies. ProCourt is not responsible for the quality, safety, conduct, or outcome of any lesson.
• If you are a coach, you set your own rates and are responsible for your services, taxes, conduct, and any licenses or insurance required for your work. Payouts are made through Stripe Connect, and you agree to Stripe's applicable terms.

5. Payments, Fees, and Taxes

Stripe processes lesson payments; the app stores process subscription payments. You authorize the applicable charges, including the service fee on bookings. You are responsible for any taxes associated with your use, and coaches are responsible for taxes on their earnings.

6. Your Content and License to Us

• You retain ownership of the content and data you submit, such as match data, messages, and profile information. You grant ProCourt a worldwide, non-exclusive, royalty-free license to host, store, process, display, and use that content as needed to operate, provide, secure, and improve the Service — including generating your AI insights — and as described in our Privacy Policy.
• You are responsible for the accuracy and legality of the content you submit, including the names of opponents you enter.

7. Acceptable Use

You agree not to: violate any law; harass, abuse, threaten, or harm others; upload unlawful, infringing, or harmful content; impersonate others; interfere with or disrupt the Service; attempt unauthorized access; scrape or harvest data; or resell or commercially exploit the Service except as expressly allowed. We may suspend or terminate accounts that violate these Terms.

8. AI Features

AI-generated analysis, opponent scouting, practice plans, and summaries are provided for informational purposes only. They may be inaccurate or incomplete and are not professional coaching, medical, or fitness advice. Use your own judgment and consult qualified professionals where appropriate.

9. Health and Physical Activity

Tennis and athletic training involve physical activity and a risk of injury. You participate at your own risk and should consult a physician before beginning any training program. ProCourt is not responsible for any injury or health condition arising from your use of the Service or from any lesson or training.

10. Intellectual Property

The Service — including its software, design, content, and trademarks (including "ProCourt") — is owned by ProCourt LLC and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to use the app for your personal use (and, for coaches, to offer their coaching services). No other rights are granted.

11. Third-Party Services

The Service relies on third-party providers (including Stripe, Apple, Google, Supabase, and Anthropic). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

12. App Store Terms

If you download the app from the Apple App Store or Google Play, you also agree to that store's terms of service. Where required by the app store (for example, Apple), the store and its subsidiaries are third-party beneficiaries of these Terms and may enforce them, and the store is not responsible for the app or for providing support.

13. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any AI output will be accurate.

14. Limitation of Liability

To the maximum extent permitted by law, ProCourt and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from or related to your use of the Service. Our total liability for any claim will not exceed the greater of the amount you paid us in the twelve months before the claim or US $100.

15. Indemnification

You agree to indemnify and hold harmless ProCourt and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your interactions with other users or coaches, or your violation of these Terms.

16. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts. We encourage you to contact us first so we can try to resolve any issue informally.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice where appropriate. Your continued use of the Service after changes take effect means you accept the updated Terms.
